For Thai tax residents, the gain on exercising options is generally treated as assessable employment income in the year of exercise, taxed at progressive personal rates that reach 35 percent. Employees therefore care intensely about when they exercise and what the shares are worth at that moment, and a well designed plan gives them sensible choices rather than a tax trap.

Offering securities to employees in Thailand can fall within the Securities and Exchange Commission's remit, and the requirements differ for private companies, public companies and Thai employees receiving grants from a foreign parent.
